Abstract

This article discusses the various mode of dissolution; the procedure for winding up; and the appointment, qualifications, powers and role played by liquidator in different types of winding up. The rights, obligations and liabilities of creditors, contributory, directors and officers is also explained. Lastly, the winding up process will be concluded with assets distribution to stakeholders entitled to the distribution. The writing of this article employs the hermeneutics analysis of relevant legislation(s). It provides a quick and simplified reference for students and non-practitioner.
