Corporate Law of Malaysia : The legal implication of holding leadership in a Malaysian business entity

Abstract

This article introduces the rules pertaining to the role and responsibilities of directors and officers under the Malaysia Companies Act 2016. Discussion will include issues concerning qualification of these key individuals, their powers, legal duties, their appointment, retirement and removal. Some discussion will also be afforded to explain if loan can be extended to directors in the light of concerns over conflict of interest. The writing of this article employs the hermeneutics analysis of relevant legislation(s). It provides a quick and simplified reference for students and non-practitioner.
