Abstract

This article provides information concerning corporate loan as an instrument to raise capital in Malaysia; the procedures and legal requirement with regard to loan capital financing, creation of charges and debentures; and role of trustees with regard to debentures issued by public listed companies. Discussion is backdropped against the Companies Act 2016. The writing of this article employs the hermeneutics analysis of relevant legislation(s). It provides a quick and simplified reference for students and non-practitioner.
