Abstract

This article provides information concerning constitution of companies, explains the different position under the old and revised Companies Act of Malaysia. It highlighted the legal significance of the traditional memorandum and article of associations and the legal implication following the abolishment of these two statutory documents. The writing of this article employs the hermeneutics analysis of relevant legislation(s). It provides a quick and simplified reference for students and non-practitioner.
